4. Scope of Services
All project deliverables, timelines, pricing, revisions, and service scope shall be discussed separately through proposals, quotations, invoices, emails, or signed agreements.

5. Payments & Billing
5.1 Advance Payments
Projects generally require an advance payment before initiation unless agreed otherwise in writing.
5.2 Delayed Payments
Delayed payments may result in:

- Delay in project delivery
- Restriction of access to deliverables
- Additional late charges where applicable
5.3 Non-Refundable Services
Payments made for strategy, consultation, marketing retainers, ad spends, resource allocation, or completed work are non-refundable.
5.4 Third-Party Costs
Third-party expenses such as:
- Ad budgets
- Paid software/tools
- Hosting/domain charges
- API costs
- Influencer payouts
- Production expenses
shall be borne by the client unless explicitly included in the quotation.
6. Intellectual Property
All concepts, creatives, campaign structures, strategies, source files, codes, visuals, videos, and proprietary processes created by Social Up Marketing remain the intellectual property of the agency unless ownership transfer is specifically agreed upon in writing.
Clients shall not:
- Resell our work without permission
- Copy internal strategies
- Reproduce proprietary systems
- Claim agency-created assets as original work before final payment clearance
Upon full payment, approved final deliverables may be transferred according to the agreed project scope.
7. Revisions & Deliverables
Revision limits may vary depending on the selected package or proposal. Additional revisions beyond the agreed scope may incur extra charges.
The agency is not responsible for delays caused due to:
- Delayed client responses
- Pending approvals
- Incomplete assets/content from client side
- Platform outages
- Third-party dependencies
8. Marketing Performance Disclaimer
While we aim to deliver the best possible outcomes, Social Up Marketing does not guarantee:
- Fixed sales numbers
- Viral reach
- Guaranteed leads
- Exact ROI
- Platform algorithm behavior
- Influencer performance metrics
Digital marketing performance depends on multiple external factors beyond agency control.
9. User Conduct
You agree not to:
- Use our services for illegal activities
- Upload malicious or copyrighted material without authorization
- Attempt unauthorized access to systems
- Misuse branding or identity of the agency
- Spread false or defamatory information about the company
Violation may result in termination of services without refund.
10. Confidentiality
Both parties agree to maintain confidentiality regarding:

- Financial information
- Login credentials
- Internal discussions
- Client-sensitive materials
Confidential information shall not be shared with unauthorized third parties.
11. Third-Party Platforms
Our services may involve platforms such as Meta, Instagram, Facebook, Google, LinkedIn, YouTube, Shopify, WordPress, and other third-party APIs & SaaS tools.
We are not liable for:
- Platform policy changes
- Account suspensions
- Ad account restrictions
- Downtime or technical failures caused by external platforms
12. Termination
Social Up Marketing reserves the right to suspend or terminate services if:
- Terms are violated
- Payments remain pending
- Misleading information is provided
- The client engages in abusive or unethical conduct
Clients may also terminate ongoing services by providing prior written notice as per the signed agreement.
13. Limitation of Liability
Under no circumstances shall Social Up Marketing be liable for:
- Indirect losses
- Business interruption
- Loss of revenue
- Loss of data
- Reputation damage
- Platform-related issues
- Delays caused by third-party providers
Maximum liability, if applicable, shall not exceed the amount paid for the specific service.
14. Indemnification
You agree to indemnify and hold harmless Social Up Marketing, its team members, partners, and affiliates from any claims, damages, liabilities, legal disputes, or expenses arising due to misuse of services or violation of these terms.
